These Terms of Service (“Terms”) govern your use of Stockerly (“Service”), operated by Stockerly (“we”, “us”, or “our”). By creating an account or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

Service Description

Stockerly provides inventory synchronization services for e-commerce sellers. Our Service allows you to:

Connect multiple e-commerce platforms (such as Etsy, WooCommerce, and Shopify)
Automatically synchronize inventory quantities across connected platforms
Create and manage product bundles and kits
Track inventory changes and sync history

We are a synchronization tool only. We do not control and are not responsible for product listings, pricing, sales, shipping, customer service, or any other aspects of your e-commerce business.

Account Eligibility

To use Stockerly, you must:

Be at least 18 years old
Have the legal authority to enter into this agreement
Operate a legitimate e-commerce business
Have valid accounts on the platforms you wish to connect
Have authorization to connect and manage the stores you link to Stockerly

Account Responsibilities

You are responsible for:

Accurate information — Providing true, accurate, and complete account information
Account security — Maintaining the confidentiality of your login credentials and notifying us immediately of any unauthorized access
Platform authorization — Ensuring you have proper authorization to connect each store to Stockerly
Compliance — Using the Service in compliance with all applicable laws and platform terms of service
Data accuracy — Verifying that inventory data synced through our Service is accurate for your business needs

You are solely responsible for all activity that occurs under your account.

Platform Connections

When you connect an e-commerce platform to Stockerly:

You authorize us to access your platform account via API to read and update inventory data
You confirm you have the right to grant this access
You understand that we will modify inventory quantities on your connected platforms as part of normal sync operations
You acknowledge that each platform has its own terms of service that you must comply with

We are not responsible for any issues arising from platform API changes, rate limits, or platform-side restrictions that may affect synchronization.

Subscription and Billing

Free Trial

New accounts may be eligible for a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

Paid Plans

Subscription fees are billed monthly in advance
All fees are in US dollars unless otherwise stated
Fees are non-refundable except as described below or required by law
We may change pricing with 30 days notice; continued use after the change constitutes acceptance

Payment

You authorize us to charge your payment method for all fees when due
If payment fails, we may suspend your account until payment is received
You are responsible for any taxes applicable to your subscription

Cancellation

You may cancel your subscription at any time through your account settings
Cancellation takes effect at the end of your current billing period
You will retain access to the Service until the end of your paid period
We do not provide prorated refunds for partial months

Refunds

Refunds may be issued at our discretion on a case-by-case basis. Contact support@stockerly.io for refund requests.

Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Attempt to gain unauthorized access to our systems or other users’ accounts
Interfere with or disrupt the Service or servers
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use the Service to transmit malware or malicious code
Resell or redistribute the Service without our written consent
Use the Service in a way that violates the terms of your connected platforms
Exceed reasonable usage limits or abuse API connections

We reserve the right to suspend or terminate accounts that violate these terms.

Intellectual Property

The Service, including its design, features, and content, is owned by Stockerly and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

You retain ownership of your data. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:

Scheduled maintenance (we will provide advance notice when possible)
Unscheduled maintenance or emergency repairs
Third-party platform outages or API issues
Circumstances beyond our reasonable control

We are not liable for any losses resulting from service unavailability.

Third-Party Platforms

Stockerly integrates with third-party e-commerce platforms. We are not affiliated with, endorsed by, or responsible for these platforms. Each platform has its own terms of service and privacy policies that govern your use of their services.

We do not guarantee compatibility with any specific platform version or feature. Platform changes may affect the Service, and we will make reasonable efforts to maintain compatibility but cannot guarantee uninterrupted integration.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will meet your specific requirements
The Service will be uninterrupted, timely, secure, or error-free
Inventory synchronization will be 100% accurate in all circumstances
Any errors in the Service will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOCKERLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Lost profits or revenue
Lost sales due to overselling or inventory discrepancies
Business interruption
Loss of data
Platform account suspensions or penalties
Damage to business reputation

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless Stockerly, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights or platform terms of service
Any content or data you provide through the Service

Termination

By You — You may terminate your account at any time by canceling your subscription and deleting your account through your account settings, or by contacting support.

By Us — We may suspend or terminate your account if:

You violate these Terms
Your payment method fails and is not resolved
We are required to do so by law
We discontinue the Service (with reasonable notice)

Effect of Termination — Upon termination:

Your access to the Service will end
Inventory synchronization will stop immediately
You may request export of your data within 30 days
We may delete your data after 30 days

Dispute Resolution

If you have a dispute with us, please contact support@stockerly.io first. We will attempt to resolve the issue informally.

If we cannot resolve the dispute informally, you agree that any legal action must be filed in courts located in the United States, and you consent to the jurisdiction of such courts.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

Posting the updated Terms on this page with a new effective date
Sending an email notification for significant changes

Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service.

General Provisions

Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stockerly.

Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

Waiver — Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment — You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
